Terms of Service

Important: By accessing or using Linkus, you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, you must immediately cease using the platform.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Linkus (Pty) Ltd ("Company", "we", "us", or "our"), governing your access to and use of the Linkus platform, website, application programming interfaces, and all associated services (collectively, the "Platform").

By registering an account, accessing any feature, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies incorporated herein by reference. These Terms apply to all visitors, users, and others who access or use the Platform.

2. Intellectual Property Rights & Copyright Protection

Core IP Notice: All intellectual property on this Platform is exclusively owned by Linkus (Pty) Ltd. Unauthorised reproduction, copying, or imitation is strictly prohibited and will be prosecuted to the fullest extent of the law.

2.1 Ownership. The Platform and its entire contents, features, functionality, design, architecture, source code, algorithms, user interface elements, visual design, branding, trade dress, logos, trademarks, service marks, product names, slogans, domain names, business methods, and all other intellectual property (collectively, "IP Assets") are and shall remain the exclusive property of Linkus (Pty) Ltd and its licensors. These IP Assets are protected by the laws of the Republic of South Africa and international intellectual property treaties, including but not limited to the Copyright Act 98 of 1978 (as amended), the Trade Marks Act 194 of 1993, the Patents Act 57 of 1978, and the Designs Act 195 of 1993.

No part of this Platform — including its concept, design, source code, database structure, feature set, business model, pricing strategy, user experience flows, or any derivative work — may be reproduced, distributed, transmitted, displayed, published, broadcast, or otherwise exploited in any form or by any means, electronic, mechanical, photocopying, recording, or otherwise, without the prior written permission of Linkus (Pty) Ltd.

2.3 Prohibited Acts. Without limiting the generality of the foregoing, you are expressly prohibited from:

  • Copying, cloning, replicating, or imitating the Platform's concept, design, features, or business model;
  • Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Platform;
  • Scraping, crawling, or extracting data, content, or structural information from the Platform by automated or manual means;
  • Creating derivative works based on the Platform or any of its IP Assets;
  • Using the Platform's name, logo, branding, or trade dress in any manner without express written consent;
  • Registering domain names, company names, trademarks, or social media handles that are confusingly similar to Linkus;
  • Developing a competing product or service that substantially replicates the Platform's unique features, design, or concept;
  • Framing, mirroring, or embedding any portion of the Platform on any third-party website or application;
  • Removing, altering, or obscuring any copyright, trademark, or other proprietary notices on the Platform.

2.4 Enforcement. Linkus (Pty) Ltd actively monitors for infringement of its intellectual property rights. Any violation of this Section 2 will result in immediate termination of your account and may result in civil and/or criminal legal proceedings, including claims for damages, injunctive relief, and recovery of legal costs. Linkus (Pty) Ltd reserves the right to pursue all available legal remedies under South African law and applicable international law.

2.5 Trade Secrets. The Platform incorporates trade secrets and confidential business information of Linkus (Pty) Ltd, including but not limited to proprietary algorithms, data models, business processes, and technical architectures. You agree to maintain the confidentiality of any such information you may access through your use of the Platform and not to disclose it to any third party.

2.6 Africa-First Innovation. The concept, design, and business model of Linkus as an Africa-first, ZAR-priced social media management platform — including its pricing strategy, Africa Access plan, local payment integration approach, and pan-African market positioning — constitutes original intellectual property of Linkus (Pty) Ltd and is protected accordingly.

3. User Content & Licence

3.1 Your Content. You retain ownership of all content you create, upload, or submit through the Platform ("User Content"). By submitting User Content, you grant Linkus (Pty) Ltd a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, process, adapt, and display your User Content solely for the purpose of providing and improving the Platform's services.

3.2 Content Restrictions. You represent and warrant that your User Content does not infringe the intellectual property rights of any third party, does not violate any applicable law, and does not contain any content that is defamatory, obscene, fraudulent, or otherwise objectionable.

3.3 No Reverse Licence. Nothing in these Terms grants you any right, title, or interest in the Platform's IP Assets. The limited licence granted to you under these Terms is solely to use the Platform for its intended purpose and does not include any right to sublicense, transfer, or assign.

4. Permitted Use & Restrictions

Subject to your compliance with these Terms, Linkus (Pty) Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal or internal business purposes. This licence does not include the right to:

  • Resell, sublicense, or commercially exploit the Platform or any of its features;
  • Use the Platform to develop a competing product or service;
  • Access the Platform through automated means (bots, scrapers) without written authorisation;
  • Circumvent any technical measures or access controls implemented by Linkus (Pty) Ltd;
  • Use the Platform in any manner that could damage, disable, overburden, or impair its infrastructure.

5. Subscription, Billing & Free Trial

5.1 Free Trial. Paid plans include a 30-day free trial period. No payment is required during the trial. At the end of the trial period, your subscription will automatically convert to the selected paid plan unless you cancel before the trial ends.

5.2 Pricing. All fees are quoted in South African Rand (ZAR) and are inclusive of applicable taxes unless otherwise stated. Linkus (Pty) Ltd reserves the right to modify pricing with 30 days' written notice to existing subscribers.

5.3 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods unless required by applicable law.

6. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Linkus (Pty) Ltd does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. To the fullest extent permitted by applicable law, Linkus (Pty) Ltd disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Linkus (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Platform, even if Linkus (Pty) Ltd has been advised of the possibility of such damages. Linkus (Pty) Ltd's total aggregate liability shall not exceed the amount paid by you to Linkus (Pty) Ltd in the twelve (12) months preceding the event giving rise to the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Linkus (Pty) Ltd and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Platform.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa. You irrevocably submit to the personal jurisdiction of such courts for the purpose of litigating any such claim.

10. Changes to Terms

Linkus (Pty) Ltd reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email notification. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
